Key Responsibilities
Deal execution (primary)
• Own the day-to-day execution of live M&A deals from term sheet/heads of terms through to signing and completion.
• Coordinate workstreams across legal, tax, financial, commercial, technical and ESG due diligence.
• Manage and challenge external advisors; drive workstreams to deadline and budget.
• Maintain deal trackers, issues lists, conditions precedent / subsequent and completion checklists.
• Draft and review key transaction documents alongside legal counsel — SPAs, shareholder agreements, disclosure letters, ancillary documents.
Analysis, modelling and IC
• Build, review and stress-test financial models — sources & uses, returns (IRR / MOIC / yield), debt sizing, sensitivities.
• Prepare IC papers, board memos and decision papers for the CFO,
• Lead valuation work — DCF, comparable transactions, trading comparables, LBO.
